Terms of service

1. Who you are contracting with

okidok is operated by Cedric Jacob, Markt 35, 53721 Siegburg, Germany. In these terms "okidok", "we" and "us" mean that operator, and "you" means the person or business that opens an account. You can reach us at hello@okidok.io.

These terms apply to your use of okidok.io, app.okidok.io, the sites we host for you, and the API. By opening an account you accept them.

2. The service

okidok is a hosted product for coaches: contacts and segments, pages and forms, email, bookings, payments metadata, a community area, an inbox for connected social accounts, and an AI assistant. We describe what each part does in the product. We keep improving it, and we may add, change or retire parts of it. If a change removes something you rely on, we tell you first, by email, with 30 days notice.

3. Your account

You need an account to use okidok. Keep your credentials to yourself, use a real email address we can reach you at, and tell us if you think someone else has access. You are responsible for what happens under your account, including what the people you invite do.

You must be at least 18 and, if you sign up for a company, allowed to bind it.

4. Your workspace and your customers' data

Your workspace holds your content and the personal data of your own leads, subscribers, members and customers. That data is yours. You are the controller for it under data protection law, and we are your processor: we process it on your instructions, only to run the service for you. The Data Processing Agreement governs that processing and forms part of these terms.

You decide what you collect and why, and you are responsible for having a legal basis for it, for telling your people what you do with their data, and for honouring their requests. We help you with the information we hold.

We do not use your content or your customers' data to train models, and we do not sell it.

5. Acceptable use

Do not use okidok to:

  • break the law, or help someone else break it
  • send unsolicited bulk email, or email to people who did not agree to hear from you
  • upload or send material you have no right to use
  • harass, threaten, deceive or defraud anyone
  • sell or promote anything that is illegal where your audience is
  • probe, overload, reverse engineer or interfere with the service, or work around a limit
  • resell the service, or run it for a third party, without our written agreement

The AI assistant can be wrong. Check what it produces before you act on it or send it. Do not use it to generate anything in the list above. What that means in detail is on the AI disclaimer page.

If you break this section we may suspend your workspace. Where the problem can be fixed we tell you and give you a chance to fix it first, unless the risk is immediate.

6. Fees and billing

A workspace costs 97 USD per month, plus any tax that applies where you are. Billing is monthly in advance, by card, on the day of the month you signed up. Payment processing is handled by our payment provider; we do not store your card details.

You can cancel at any time, from the settings in your workspace. The cancellation takes effect at the end of the month you have paid for, and you keep access until then. We do not refund a month that has started, and we do not pro-rate a partial month.

If a payment fails we retry and tell you. If it keeps failing we may suspend the workspace until it is settled.

We can change the price. We tell you by email at least 30 days before the change takes effect, and you can cancel before it does.

7. Availability

We run okidok on AWS in Frankfurt and we work to keep it up. In early access we do not promise an uptime percentage, and there is no service level agreement. We may take the service down for maintenance, and we try to do that outside European business hours and to tell you when we can.

8. Export and deletion

You can export your data at any time, in a common format, from the product.

When you cancel or we close your workspace, we keep the data for 30 days so you can change your mind or export it. After those 30 days we delete it. Backups age out on their own schedule, within 35 days. We keep what the law requires us to keep, such as invoices, for as long as it requires.

You can ask us to delete everything sooner, by email to hello@okidok.io.

9. Our content and yours

The product, its software, design and brand stay ours. You get the right to use them while your account is active, for your own coaching business.

Your content stays yours. You give us the limited right to host, copy, process and display it, and to send it to the people you address it to, so that we can run the service for you. That right ends when the data is deleted.

10. Suspension and termination

You can close your account at any time. We can close or suspend it if you break these terms, if you do not pay, or if we have to for legal reasons. We can also stop offering the service entirely, with 30 days notice by email and a refund of any period you paid for and cannot use.

11. Warranties and liability

The service is provided as it is. Beyond what the law requires, we do not warrant that it will be uninterrupted, error free, or fit for a particular purpose, and we do not warrant that the AI assistant is accurate.

We are liable without limit for injury to life, body or health, for intent and gross negligence, and wherever the German Product Liability Act applies. For ordinary negligence we are liable only for breach of an obligation that is essential to the contract, and then only up to the damage that was foreseeable and typical for this kind of contract. In any case, and as far as the law allows, our total liability is limited to the fees you paid in the 12 months before the event that caused the claim. Nothing here limits a liability that cannot be limited.

You are responsible for your own compliance with the law when you use okidok with your audience, and you cover us for claims that arise from your content or your use of the service in breach of these terms.

12. Changes to these terms

We may change these terms. We announce a change by email at least 30 days before it takes effect. If you do not accept it, cancel before it takes effect; using the service after that date means you accept the new version.

13. Law and venue

German law applies, without its conflict of law rules, and without displacing mandatory consumer protection in your country of residence. If you are a business, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes is Siegburg, Germany. We may also sue you at your own seat.

14. The rest

If a clause turns out to be invalid, the rest stays in force. We may transfer this contract to a company we set up to run okidok, or to a buyer of the business; you keep the right to cancel. You may transfer it only with our written agreement. Notices go to the email address on your account, and to hello@okidok.io for us.
